Purchase Contract

این قرار داد بین …………………………. که در اینجا از این به بعد “خریدار” نامیده میشود از طرف و ……………………… که از این به بعد “فروشنده” نامیده میشود از طرف دیگر با شرایط و مقررات زیر منعقد میگردد:

ماده 1: موضوع قرارداد  

فروشنده متعهد است …………………….. را طبق ……………………. برگ مشخصات پیوست که به امضای فروشنده رسیده است و جزء لاینفک این قرارداد میباشد به طور نو و سالم تهیه و به صورت ……………. حمل و در …………………. تحویل خریدار نماید.

Article 1: Object of Contract

The seller undertakes to ship …………………….. on ……………………… basis in accordance with respective specifications attached in …………….. copies signed by the seller and will form an integral part in contract, in perfectly new and sound conditions, and deliver the goods to the buyer.

ماده 2: بها

بهای کلیه کالاهای موضوع این قرارداد طبق شرح ماده 1 به اضافه هزینه بسته بندی و هزینه کرایه حمل و هزینه یوزانس به مبلغ …………………… میباشد، عوارض گمرکی و هزینه حمل و نقل کالا در ایران به عهده خریدار و مالیات بر درآمد مربوط نسبت به عواید حاصل از این قرارداد در ایران طیق تشخیص وزارت دارایی به عهده فروشنده خواهد بود.

 

Article 2: Price

The price of all the goods described in Art. 1 including packing, freight and usance-charges amounts to ………… . The customs duties and inland transportation charges shall be paid by the buyer, but the income taxes on the profit to be derived from this contract in Iran according to the assessment of the ministry of finance shall be borne by the seller.

تبصره 1 :

پس از امضا و مبادله پیمان هیچ گونه اضافه بهای کالا و کرایه حمل آن تحت هیچ عنوان مورد قبول خریدار نخواهد بود.

 

Note 1: No increase in the price of the goods or transportation charges shall be accepted under any circumstances to the buyer after signature and exchange of the contract.

تبصره 2:

خریدار میتواند معادل 25% از میزان این معامله را طبق قیمت و شرایط این پیمان کسر یا اضافه نماید و این موضوع باید قبل از خاتمه قرارداد کتبا به فروشنده اعلام شود.

Note 2: The buyer may increase or decrease the quantity of this contract up to 25% under the price and conditions specified in this contract, of which the seller should be notified in written before terminating the contract.

ماده 3: مدت حمل

فروشنده متعهد است کلیه کالاهای موضوع قرارداد را دقیقا یا به تدریج در ………………. نوبت ظرف …………………… ماه از تاریخ گشایش اعتبار به موسسه حمل و نقل (دریایی – زمینی) برای حمل به ایران تحویل و پس از ورود کشتی به بندر یا واگن به ایستگاه مقصد کالا را به شرح ماده 1 تحویل خریدار نماید.

Article 3: Time of Shipment

The seller undertakes to deliver the total quantity of the goods in one consignment or gradually in times in shipments within …….. months from the opening date of the LIC to the (ocean – land) transportation agency for Shipment to Iran and after arrival of vessel or wagon to the port/station of destination to the buyer as per Art. 1.

ماده 4: شرایط پرداخت بها

در ظرف ……………….. هفته از تاریخ امضا و مبادله این قرارداد، خریدار به بانک ملی ایران اعلام مینماید اعتبار غیرقابل برگشت که از تاریخ گشایش مدت …………. ماه معتبر باشد به مبلغ ………….. بابت بهای کالا و بسته بندی و کرایه حمل هزینه های یوزانس آن تا مقصد ایران به نام ……………… در یکی از بانکهای معتبر کشور ذی نفع باز نماید، استفاده از این اعتبار به وسیله فروشنده منوط به تسلیم کلیه نسخ اصل و رونوشت اسناد زیر به بانک نامبرده بالا میباشد.

 

Article 4: Terms of payment

Within ……… weeks from the date of signature and exchange of the contract, the buyer shall ask the Bank Melli Iran to establish an irrevocable L/C to the amount of ………. for covering the goods price as well as packing, freights and usance charges to destination in Iran valid for a period of …………….. months from the date of opening in favor of ………… in on of the accredited banks in the beneficiary’s country. Utilize the LIC by the seller depends on submitting originals and copies of the following documents to the said bank:

لیست اسناد

1. فاکتور فروشنده که به اسم خریدار تنظیم شده و از نظر عادلانه بودن قیمت به تایید اتاق بازرگانی و کنسولگری محل رسیده باشد در سه نسخه.
2. گواهینامه مبدا در سه نسخه/
3. بارنامه حمل دریایی – زمینی (رسید موسسه حمل و نقل………) هوایی که دلالت بر حمل کالا از مبدا به مقصد بندر امام خمینی – جلفا یا مرز ایران و ترکیه با گمرک ایران یا فرودگاه مهرآباد را بنماید در سه نسخه.
4. صورت بسته بندی در سه نسخه.
5. گواهینامه بازرسی ………………… که ساختمان کالا را از نظر فنی و صحت مشخصات مربوط و تعداد بر طبق قرارداد تایید نماید سه نسخه.

Documents

1. Seller’s invoice, issued in the buyer’s name, should be confirmed and certified by the local chamber of commerce and Iran’s Consulate from reasonable price point of view in 3 copies.
2. Certificate of origin in 3 copies.
3. waybill ocean – land (receipt of ………… transportation agency) air evidencing shipment of the goods from origin to destination of Bandar Imam Khomeini – Julfa or Iran – Turkish border or Tehran Customs or Mehrabad Airport in 3 copies.
4. Packing list in 3 copies.
5. Technical inspection certificate issued by ……….. certifying the conformity of the goods with the content of the contract from technical quality, and quantity points of view in 3 copies.

 

تبصره 1:

هزینه نمونه برداری و آزمایش مصالح را فروشنده پرداخت میکند و دستمزد بازرسی را خریدار میپردازد.

Note 1: The cost of sampling and testing materials shall be borne by the seller and the technical inspection fee by the buyer.

تبصره 2:

یک نسخه از گواهینامه مبدا و فاکتور کارخانه باید به تایید اتاق بازرگانی مبدا و کنسولگری ایران در محل رسیده باشد.

Note 2: One copy of certificate of origin manufacturer’s invoice shall be confirmed by the local chamber of commerce and Iran’s Consulate in country of origin.

تبصره 3:

صدور گواهینامه بازرسی فنی کالا موضوع بند 5 ماده 4 به هیچ وجه مسئولیت فروشنده را از اجرای مفاد این قرارداد مبرا نمیکند.

Note 3: The issuance of the technical inspection certificate of the goods concerning the Para. 5, Art. 4, shall in no way relieve the seller from his responsibilities for the execution of the contract.

تبصره 4:

بدون تصویب قبلی خریدار، فروشنده حق واگذاری یا انتقال منافع و تعهدات این قرارداد را به دیگری به طور کلی یا جزئی ندارد.

Note 4: The seller shall not have the right to assessing or transfer the benefit and obligation of this contract or any part thereof to another (whether full or partial) without the prior approval of the buyer.

تبصره 5:

فروشنده متعهد است جریان حمل کالا و نام و تاریخ حرکت وسائل حمل و نقل حامل کالا و تعداد وزن و نوع بسته های حمل شده را به وسیله تلکس یا فکس به خریدار اطلاع ده. در ضمن روی دستگاهها و صندوق ها باید عبارت (……………. جمهوری اسلامی ایران) طبق برگ ضمیمه قرارداد ترسیم شود.

Note 5: The seller undertakes to notify the buyer by telex or fax of the shipment of the goods, giving details of the name and departure date of the means carrying the goods, and of pieces, weight and kind of the shipping packages. The cases containing the goods shall be marked by the phrase (Islamic Republic of Iran) as per the attached sheet.

تبصره 6:

گشایش اعتبار این قرارداد موکول به وصول برگ ثبت سفارش است.

Note 6: The letter of credit covering this contract shall be established upon receipt of the order registration form.

ماده 5: تضمین حسن انجام کار

به منظور حسن انجام تعهداتی که فروشنده به موجب این قرارداد تقبل نموده متعهد است ضمانتنامه بانکی به ماخذ 10 درصد ارزش کل این قرارداد که صادره یکی از بانکهای مجاز ایران بوده و بدون قید و شرط تنظیم و برای …………. ماه اعتبار داشته باشد را به خریدار تسلیم نماید به هرحال تا تسلیم تضمین فوق الذکر فروشنده مکلف به تمدید ضمانتنامه شرکت در مناقصه خود میباشد.

ضمانتنامه حسن انجام تعهد پس از انجام کلیه تعهدات مربوط به این قرارداد و رسیدن کالا به انبار خریدار درتهران یا حداکثر ظرف سه ماه از تاریخ ورود کالا که در جواز گمرکی مندرج است به فروشنده مسترد خواهد شد.

Article 5: Good Performance Guarantee

For the proper fulfillment of the obligations assumed by the seller under the present contract, the seller undertakes to submit the buyer a bank letter of guarantee amounting to 10% of the total value of the contract issued through one of the authorized banks of Iran, without any conditions and reservations and be valid for …………. months. In any case, until submission of the above-said guarantee the seller is obliged to extend this guarantee for tender participation.

ضمانتنامه حسن انجام تعهد پس از انجام کلیه تعهدات مربوط به این قرارداد و رسیدن کالا با انبار خریدار در تهران یا حداکثر ظرف سه ماه از تاریخ ورود کالا که در جواز گمرکی مندرج است به فروشنده مسترد خواهد شد.

The good performance guarantee shall be refunded and released to the seller after fulfillment by him of all his contractual obligations and after arrival of the goods in the buyer’s store of the ………. in Tehran, and/or within maximum of 3 months after arrival of the goods to the destination, mentioned in customs permit.

ماده6 : جریمه

به استثتای موارد (فورس ماژور) بین المللی چنانچه در مدت حمل کالای مندرج در ماده 3 این قرارداد تاخیر شود و این تاخیر ناشی از قصور فروشنده باشد فروشنده باید برای هر سی روز تمام به میزان 2 درصد برای کل مقدار کلایی که در حمل آن تاخیر شده، جریمه بپردازد و این جریمه را خریدار بدون هیچ تشریفاتی از مبلغ 10 درصد ضمانتنامه بانکی مذکور در ماده 5 به نفع خود ضبط مینماید.

 

Article 6: Penalties

With the exception of case of international “force majeure” the seller has to pay, in case of delay in shipment of goods, beyond the time specified in Art. 3 of the contract, a penalty amounting to 2% of the total value of the delayed lot of the shipment for each complete thirty days of delay. This penalty shall be deducted without any formalities from the amount of 10% bank guarantee mentioned in Art. five.

تبصره1:

چنانچه مدت تاخیر در حمل و نقل کلیه یا قسمتی از کالا از 2 ماه تجاوز نماید، خریدار حق دارد ضمانتنامه بانکی مذکور در ماده پنج را کلا به نفع خود ضبط و همچنین این قرار داد را فسخ نماید.

در موارد فورس ماژور فقط حمل کالا ممکن است به تاخیر بیفتد ولی به هیچ نحو نمیتواند موجب ترقی بهای کالا شود.

Note 1: If the period of time delayed in shipment of the entirely or any lot of goods exceeds a period of 2 months, the buyer shall have the right to confiscate the entire amount of the bank guarantee mentioned in Art. 5 and also to cancel the contract. The date of the waybill shall be the only basis for calculating the delay in shipment of goods and determining the extent of the penalty to be applied.

In case of “force majeure” only the shipment of the goods may be delayed and no increase in price may be demanded under any circumstances.

تبصره2:

در موارد فورس ماژور یا تاخیر در حمل کالا خریدار به فروشنده اعلام مینماید که ضمانتنامه مندرج در ماده 5 را برای مدتی که لازم بداند تمدید و تمدیدنامه را جهت خریدار ارسال دارد در غیر اینصورت خریدار حق خواهد داشت نسبت به ضبظ مبلغ ضمانتنامه مندرج در ماده 5 به نفع خود اقدام نماید.

Note 2:  in any case of “force major” or delay in shipment of the goods, the buyer shall ask the seller to extend the bank guarantee mentioned in Art. 5 for a period that may be considered necessary by the buyer, and send the extension letter. Failing this, the buyer shall have the right to confiscate the amount of the bank guarantee mentioned in Art. five.

 

ماده 7: بیمه کالا

کالای خریداری شده از مبدا تا مقصد به وسیله خریدار و به هزینه خود او بیمه خواهد شد.

Article 7: Insurance

The purchased goods shall be insured from origin to destination by the buyer, at his own expenses.

ماده 8: حق تمبر و هزینه های بانکی

حق تمبر و هزینه های بانکی مربوط به گشایش اعتبار به عهده خریدار میباشد و هزینه های بانکی برای تمدید اعتبار چنانچه لازم شود (به استثنای موارد فورس ماژور مرسوم بین المللی) به عهده فروشنده خواهد بود.

Article 8: Stamp and bank charges

The expenses in connection with stamp and bank charges for the opening of the letter of credit shall be borne by the buyer, but the bank charges for the extension of the credit if such extension becomes necessary (force majeure) shall be paid by the seller.

تبصره مدارکی که دال بر وقوع عوامل فورس ماژور هستند باید به تصدیق اتاق بازرگانی مبدا و کنسولگری ایران در کشور مبدا رسیده باشد.

Note the documents providing the occurrence of “force majeure” should have been certified by the local chamber of commerce and Iran’s Consulate in the country of origin.

ماده 9: قانون منع مداخله کارمندان دولت در معاملات دولتی

فروشنده رسما اعلام نمود که مشمول ممنوعیت مذکور در قانون مصوب 22 دی 1337 نمیباشد و در صورتی که خریدار خلاف آنرااحراز کند علاوه بر اینکه قرارداد را ملقی اعلام خوهد نمود، حق خواهد داشت سپرده و تضمین فروشنده را ضبط نماید و خساراتی که از القا و تاخیر در اجرای موضوع قرارداد متوجه شود به تشخیص خود تعیین و از اموال فروشنده استیفا و وصول میکند. همچنین فروشنده تعهد میکند تا پایان اجرای قرارداد و واریز نهایی آن به هیچ نحو و طریق اشخاص مذکور در قانون اشاره شده را در موضوع قرارداد سهیم و ذی نفع نسازد و الا خریدار حق خواهد داشت قرارداد را فسخ و تاخیر در اجرای قرارداد را به تشخیص خود تعیین و از اموال فروشنده وصول نماید.

 

Article 9: Noninterference Clause of Iranian Government Employees in Government Transactions

The seller formally declared that the prohibition clause of the law of 22dnd Day 1337 did not devolve upon him. Should the buyer happen to prove, however, the contrary thereof, he shall, in addition to cancel the contract, have also the right to seize the deposit and the guarantee made by the seller and cover from the seller’s properties the losses incurred as the result of the cancellation and/or of the delay in the implementation of the contract at his own discern. The seller undertakes also not to let the persons foreseen in the law in question, share in any case whatsoever in the contract until the end of the execution and final settlement of the contract. Otherwise the buyer shall be entitled to cancel the contract and seize the deposit and guarantee made by the seller and cover from the seller’s properties the losses incurred as the result of the cancellation and/or of the contract as determined by him.

فروشنده متعهد گردید هرگاه در جریان اجرای قرارداد یکی از اقوام خود یا اقوام مدیران یا بازرسان تا ناظران یا هریک از شرکایی که دارای بیش از 5 درصد سهام باشد یا اقوام چند نفر از شرکا که مجموع سهام یا سرمایه یا منافع آنها بیش از 20 درصد بشد که در تبصره 1 ماده 1 قانون ذکر شده است. به مقام وزارت یا معاونت یا مدیریت در وزارت راه یا نظیر این مقامات در تشکیلات خریدار برسد فورا موضوع را به خریدار اطلاع دهد در اینصورت نیز خریدار حق خواهد داشت قرارداد را فسخ نماید و اگر فروشنده مراتب را اطلاع ندهد خریدار علاوه بر فسخ اختیار خواهد داشت سپرده و تضمین فروشنده را ضبط و خسارت ناشی از فسخ و تاخیر در اجرای قرارداد را راسا تشخیص و از اموال فروشنده وصول کند.

Article 9:

The seller undertakes to inform the buyer immediately of any such cases if he happens to find out that during the process of the execution of the contract, one of his own next kins, directors, inspectors or supervisors or each of the shareholders who more than 5% of the shares or next kins to some of the shareholders the aggregate of whose shares or capital or interests exceeds 20% as foreseen under Note 1 of Art. 1 of the law, have attained the position of a minister, deputy minister or director of the ministry of roads or any similar positions at the Iranian Islamic Republic Railways, and in this case the buyer shall have the right to cancel the contract, and should the seller have failed to report the case, the buyer in addition to cancelling the contract, shall be entitled to seize the deposit and the guarantee made by the seller and cover directly from the seller’s properties, losses incurred as the result of the cancellation and/or of the delay in the implementation  of the contract as determined by him.

ماده 10: اختلافات

کلیه اختلافات حاصل در طرز اجرای تعهدات یا تفسیر مواد این قرارداد به وسیله کمیسونی مرکب از نمایندگان متساوی الطرفینرسیدگی و در صورت توافق طبق نظریه آنها عمل خواهد شد و در صورت عذم توافق بین نمایندگان طرفین یا عدم تشکیل کمیسیون به جهاتی موضوع بر طبق قوانین جاریه کشور ایران و در دادگاههای ایران حل و فصل میشود.

Article 10: Disputes and Differences

All differences arising between the parties in connection with obligations and interpretation of the clauses of this contract shall be examined by a committee composed of an equal member of representatives of both parties. In case of agreement, the decision reached by the committee shall be put in force, but if no settlement can be reached between the members of the committee or if for any reason such committee cannot convince, the differences shall be solved in accordance with the current law and regulations at the Iranian courts.

ماده 11: امضای قرارداد

این قرارداد در ده نسخه به زبانهای فارسی و انگلیسی تنظیم گردیده، کلیه نسخ پس از امضا و مبادله معتبر شناخته میشوند و در صورت بروز اختلاف بین دو متن فارسی و انگلیسی، متن فارسی معتبر است.

آقای ……………….. به موجب نامه شماره …………………… مورخ ………………. از طرف کمپانی – شرکت ……………….. این قرارداد را امضا نمود.

Article 11: the signing of the contract
